1. WHO WE ARE

The website www.parkour.club (the “Site”) and the Parkour Club membership program (the “Club”) are operated by People Mover Technologies Inc., a corporation incorporated in Quebec, with its head office at 204 Notre-Dame Street West, Suite M1, Montreal, Quebec H2Y 1T3 (“Parkour”, “we”, “our”).

Parkour organizes food festivals including La Poutine Week, Le Burger Week, Munchies Quest and Croissant Fest (the “Festivals”).

2. ACCEPTANCE

These terms and conditions (the “Terms”) apply to anyone who uses the Site and to every restaurant that joins the Club.

By using the Site, you accept the Terms that apply to Site use (Section 4). By joining the Club, the restaurant accepts all of the Terms. The person completing the membership represents that they are authorized to bind the restaurant and the business that operates it.

If you do not accept these Terms, you must stop using the Site and not join the Club.

3. DEFINITIONS

•          “Member”: the restaurant location (one physical address) registered with the Club and the business that operates it.

•          “Membership”: the monthly Club subscription for a Member.

•          “Eligible Festival”: any Festival that Parkour designates as included with Membership.

•          “Festival Opt-In”: a Member’s confirmation that it will participate in an Eligible Festival.

•          “Commitment Period”: the minimum Membership period described in Section 6.3.

•          “Partner”: any third-party business offering benefits to Members through the Club.

•          “Creator”: any independent influencer or content creator in Parkour’s network.

4. USE OF THE SITE

4.1 Official site. www.parkour.club is the only official Parkour Club website. We assume no responsibility for unofficial sites.

4.2 Information. Information on the Site is provided for informational purposes. Despite our efforts, errors or omissions may occur.

4.3 Availability. We do not guarantee that the Site will be available at all times or without interruption. We may modify, suspend or discontinue the Site, in whole or in part.

4.4 Account. Some features require an account. You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate, up-to-date information.

4.5 Prohibited uses. You may not, among other things: use the Site for illegal or fraudulent purposes; manipulate any vote, contest or ranking; attempt unauthorized access to the Site or its systems; scrape or bulk-extract data from the Site by automated means; or post false, misleading, defamatory or infringing content. We may suspend or delete any account for a breach.

4.6 Intellectual property. Site content, including text, images, videos, logos and trademarks (including Parkour, Parkour Club and the Festival names), belongs to Parkour or its licensors and is protected by law. Any reproduction or use without our prior written permission is prohibited, except as expressly allowed in these Terms.

4.7 External links. The Site may link to third-party sites. We are not responsible for their content, and a link is not an endorsement.

5. PARKOUR CLUB MEMBERSHIP

5.1 Price. Membership is $99 per month, per location, plus applicable taxes (GST and QST).

5.2 One location, one Membership. Each location requires its own Membership. Benefits are tied to the registered location and cannot be transferred to another restaurant or location, resold or exchanged for cash.

5.3 Billing. Membership is billed monthly, in advance, to the Member’s payment method on file, which the Member authorizes Parkour (or its payment processor) to charge on each due date. Membership renews automatically month to month until cancelled under Section 7.

5.4 Good standing. Club benefits are available only while the Membership is active, paid and in good standing.

5.5 Failed payments. If a payment fails, Parkour may retry the charge and notify the Member. If payment is not made within [7] days of the notice, Parkour may suspend Club benefits, including Festival participation, until paid in full.

5.6 Price changes. Parkour may change the Membership price with at least 30 days’ written notice. No increase applies during a current Commitment Period. A Member who does not accept the increase may cancel before it takes effect, subject to any current Commitment Period.

6. FESTIVAL PARTICIPATION

6.1 Included participation. Active Members may participate in Eligible Festivals with no additional standard registration fee. There is no waiting period: a restaurant may join the Club in the same month as a Festival and participate, subject to registration deadlines.

6.2 Opting in. Members are eligible for upcoming Eligible Festivals but must opt in by the applicable participation deadline. Participation applies only to the location covered by the Membership.

6.3 4-month Commitment Period. A Festival Opt-In commits the Member to remain a paid Member for at least 4 consecutive months, starting in the month of the Festival Opt-In. If the restaurant joins the Club and opts into a Festival in the same month, the Commitment Period starts that month.

Example: a restaurant that joins in February and opts into La Poutine Week commits to February, March, April and May, for a minimum of $396 plus taxes.

6.4 Active during the Festival. Regardless of the Commitment Period, the Member must have an active, paid Membership during the month in which the Festival takes place.

6.5 Multiple Festivals. A Member may opt into more than one Eligible Festival. Each new Festival Opt-In creates a 4-month Commitment Period starting in the month of that opt-in. Commitment Periods do not stack; the latest end date applies.

Example: a restaurant joins in February for a February Festival, then opts in during May for a May Festival. Its minimum Commitment Period extends through August.

6.6 Festival requirements. The Member must meet each Festival’s normal requirements, including submitting its dish, restaurant information, photos and other requested materials by the deadlines. The Member is solely responsible for the preparation, quality, food safety, allergen labelling and legal compliance of the food it serves, and for honouring any promotion it commits to as part of a Festival.

6.7 Refusal or removal. Parkour may refuse or remove a Member’s participation in a Festival if the Member fails to meet Festival requirements or these Terms, or if its participation risks harming the Festival’s reputation.

6.8 Festival changes. Festival dates, markets, formats and requirements may change. If Parkour cancels a Festival the Member has opted into, or materially changes its date or market, the Member is released from the Commitment Period tied to that Festival (subject to any other current Commitment Period) and may cancel under Section 7.

7. CANCELLATION

7.1 No Festival Opt-In. A Member with no current Commitment Period may cancel at any time.

7.2 During a Commitment Period. A Member may give notice of cancellation during a Commitment Period, but cancellation takes effect only at the end of that period, and the Member remains responsible for the scheduled monthly payments until then.

7.3 After the Commitment Period. Once the Commitment Period ends, Membership continues month to month and may be cancelled at any time.

7.4 Effective date. Cancellation takes effect at the end of the monthly period already paid. No refunds are given for partial months.

7.5 Non-payment during a Commitment Period. If a Member stops paying during a Commitment Period, the remaining monthly payments for that period remain due on their scheduled dates, and Parkour may remove the Member from any upcoming Festival.

7.6 End of benefits. When Membership ends, access to all Club benefits ends. Rejoining does not restore unused benefits or prior Festival participation.

7.7 How to cancel. Members may cancel from their account on the Site or by emailing [EMAIL ADDRESS].

8. OPTIONAL PAID SERVICES

The following services are not included in the Membership price. Scope, deliverables, timing and price are confirmed in writing before each engagement begins and may be subject to separate terms, which prevail over these Terms in case of conflict.

8.1 Creators and influencers. Membership includes access to Parkour’s Creator network. Engagements currently start at $100+ per Creator, depending on the Creator, campaign and deliverables. Parkour helps match Members with Creators based on location, availability, budget and fit, but does not guarantee any specific Creator or their availability. The Member may be responsible for providing agreed meals, products or experiences. Usage rights to Creator content depend on each engagement. Creators are independent third parties; Parkour is not responsible for their posts, statements or conduct. Sponsored posts must be clearly identified as such, and the Member must not ask a Creator to conceal the commercial nature of a collaboration.

8.2 Parkour content creation. Professional photography and video are available starting at $500 per project. The Member receives the right to use final delivered content on its own marketing and social media channels. Unless otherwise agreed, Parkour retains ownership of that content and may feature it on Parkour, Parkour Club and Festival channels. The Member may request in writing that specific content not be used by Parkour.

8.3 Social media management. Social media management starts at $750 per month. Deliverables, posting frequency, platforms and responsibilities are agreed at sign-up. The Member must provide necessary account access, information and approvals. This service may have its own billing, minimum term and cancellation terms.

8.4 No guaranteed results. Parkour does not guarantee any reach, engagement, follower growth, sales or other result from a Festival, a Creator engagement or any optional service.

8.5 Taxes. All prices are in Canadian dollars, plus applicable taxes.

9. PARTNER PERKS

9.1 Offers. Active Members have access to exclusive Partner offers and benefits, such as discounts, preferred pricing, credits, samples, trials, products, services or promotional opportunities.

9.2 Partner conditions. Each Partner may set its own eligibility requirements. Some perks may require the Member to register or sign an agreement directly with the Partner. Perks may vary by restaurant, market or location, and Partners and offers may be added, changed or discontinued at any time. Parkour does not guarantee the continued availability of any Partner or offer.

9.3 Partner responsibility. Partner products and services are solely the responsibility of the Partner. Any Partner-specific agreement, pricing or condition is solely between the Member and that Partner.

9.4 Compensation disclosure. Parkour may have commercial relationships with Partners and may receive referral fees, commissions or other compensation when a Member signs up for or purchases a Partner’s product or service. Members are never required to buy anything from a Partner.

10. MEMBER CONTENT

10.1 Licence. The Member retains ownership of the names, logos, photos, descriptions and other content it provides to Parkour (“Member Content”). The Member grants Parkour a non-exclusive, royalty-free licence, valid in Canada and elsewhere, to reproduce, adapt, publish and distribute Member Content to operate, promote and publicize the Club, the Festivals and the Member, in any medium. This licence survives the end of Membership for already-published content and archives, but Parkour will stop new promotional use within a reasonable time after the Member’s written request.

10.2 Member warranty. The Member represents that it holds all necessary rights to Member Content (including consent from people who appear in it) and that the content is accurate and does not infringe anyone’s rights.

11. PERSONAL INFORMATION AND COMMUNICATIONS

11.1 Privacy Policy. We handle personal information in accordance with our Privacy Policy, available at [URL], and applicable law, including Quebec’s Act respecting the protection of personal information in the private sector. The Privacy Policy forms part of these Terms.

11.2 Privacy officer. Parkour’s person in charge of the protection of personal information can be reached at: [NAME OR TITLE], [EMAIL ADDRESS].

11.3 Communications. Parkour may contact Members about their Membership, Festivals, Creator opportunities, Partner perks and Parkour services. Commercial electronic messages are sent in compliance with Canada’s anti-spam legislation, and Members may unsubscribe at any time without affecting communications needed to administer their Membership.

11.4 Sharing with Partners. Parkour shares a Member’s contact information with a Partner or sponsor only with the Member’s consent or as otherwise permitted by law.

12. DISCLAIMER OF WARRANTIES

The Site and the Club are provided “as is” and “as available”. To the extent permitted by law, Parkour makes no warranties other than those expressly stated in these Terms.

13. LIMITATION OF LIABILITY

13.1 To the extent permitted by law, Parkour is not liable for lost profits, revenue, goodwill or business opportunities, or for indirect damages, arising from use of the Site, the Club, a Festival, a Creator, a Partner or any optional service.

13.2 To the extent permitted by law, Parkour’s total liability to a Member is limited to the total amount paid by that Member to Parkour in the 12 months preceding the event giving rise to the claim.

13.3 Nothing in these Terms limits or excludes Parkour’s liability for intentional or gross fault, or for bodily or moral injury caused to another, in accordance with article 1474 of the Civil Code of Québec.

14. INDEMNITY

The Member agrees to indemnify Parkour and its directors, officers and employees against any third-party claim arising from (a) food, products or services offered by the Member, (b) Member Content, or (c) the Member’s breach of these Terms or the law.

15. SUSPENSION AND TERMINATION BY PARKOUR

Parkour may suspend or terminate a Member’s Membership, on written notice, for material breach of these Terms, non-payment, fraud, vote manipulation or conduct likely to seriously harm the reputation of Parkour or a Festival. If Parkour terminates a Membership where the Member is not in default, the Member is released from any current Commitment Period.

16. CHANGES TO THESE TERMS

Parkour may amend these Terms. Material changes will be communicated to Members in writing at least 30 days before they take effect. A Member who does not accept a material change may cancel before it takes effect; no such change may increase the Member’s obligations during a current Commitment Period without its consent. For general Site users, the version posted on the Site applies.

17. GENERAL

17.1 Language. These Terms are drafted in French and English. In case of discrepancy, the French version prevails. The parties have expressly requested and agreed that an English version of these Terms be made available. Les parties ont expressément demandé et convenu qu’une version anglaise des présentes Conditions soit mise à disposition.

17.2 Severability. If any provision is found void or unenforceable, the remaining provisions remain in effect.

17.3 Force majeure. Parkour is not liable for delay or failure caused by events beyond its reasonable control, including pandemics, government decisions, major outages or natural disasters.

17.4 Entire agreement. These Terms, the Privacy Policy and any written agreement for an optional service form the entire agreement between Parkour and the Member regarding the Club.

17.5 Governing law and jurisdiction. These Terms are governed by the laws of Quebec and the federal laws of Canada applicable therein. Any dispute falls under the competent courts of the judicial district of Montreal.
